Terms of Service

Welcome to TheAiContentPro. These Terms of Service (the "Terms") form a binding agreement between you ("you", "your", "Customer") and TheAiContentPro ("we", "our", "us", the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Agreement

These Terms apply to all visitors, users, and others who access or use the Service. They govern the use of our website, mobile applications, APIs, dashboards, generated outputs, and any related services we provide (collectively, the "Service").

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your account

To access most features you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential and secure.
• Be responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use at support@theaicontentpro.com.

We may suspend or terminate accounts that violate these Terms, that we suspect of fraud, or that are inactive for more than 18 months.

3. Subscription & billing

The Service is offered on a subscription basis. By subscribing you authorize us (and our payment processor) to charge your chosen payment method on a recurring basis until you cancel. Pricing is shown on the page where you sign up and may change for new subscribers; existing subscribers in our "Founder" cohort are honored at the locked-in $15/month rate for the lifetime of their subscription provided their account remains continuously active and in good standing.

• Billing cycle. Monthly or annual, depending on the plan you select.
• Auto-renewal. Your subscription auto-renews unless you cancel before the next renewal date.
• Cancellation. You can cancel any time from your dashboard or by emailing support. Cancellation takes effect at the end of the current paid period; no further charges are made.
• Taxes. Prices exclude taxes, which we may be required to collect based on your billing address.
• Payment failure. If a payment fails, we may suspend access to the Service until payment is brought current.

4. Refund policy

We offer a 7-day money-back guarantee for first-time subscribers. If you are not satisfied within 7 days of your initial purchase, email support@theaicontentpro.com and we will refund your most recent payment, no questions asked. After 7 days, payments are non-refundable, except where required by applicable law. Refunds for annual subscriptions beyond the 7-day window are not available, but you may cancel at any time to stop future renewals.

5. License & ownership of output

Subject to your compliance with these Terms and to the extent permitted by applicable law and the policies of the underlying AI model providers, you own the rights to the content you generate using the Service ("Output"). We grant you a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, perform, display, and create derivative works of your Output for personal and commercial purposes, including for resale, client work, advertising, and inclusion in your own products or services.

Important caveats:

• AI-generated outputs may not be eligible for copyright protection in certain jurisdictions.
• Outputs from different model providers may be subject to additional terms, including restrictions on commercial use, attribution, or specific use cases (e.g., political advertising). Where such restrictions exist, we will surface them in the relevant studio.
• You are solely responsible for ensuring your use of Output complies with all applicable laws, third-party rights (including likeness, trademark, and copyright), and any platform terms (e.g., YouTube, TikTok, Spotify).

You grant us a limited, non-exclusive, royalty-free license to host, store, display, and process the inputs you provide and the Output you generate solely to operate, secure, and improve the Service. We do not use your inputs or Output to train shared models without your explicit opt-in.

6. Acceptable use

You agree not to use the Service to create, distribute, or facilitate any of the following:

• Child sexual abuse material (CSAM) or any content that sexualizes minors. Violations are reported to the relevant authorities.
• Non-consensual intimate imagery, including deepfake nudity of real people.
• Content that promotes violence, terrorism, self-harm, or illegal activity.
• Targeted harassment, doxxing, or threats against any individual or group.
• Disinformation designed to interfere with elections, public health, or critical infrastructure.
• Synthetic media that impersonates a real person without consent (including voice cloning of a third party).
• Spam, phishing, malware, or content that infringes another party's intellectual property or rights of publicity.
• Automated bulk scraping of the Service or attempts to circumvent rate limits, security controls, or usage caps.
• Reselling or sublicensing access to the Service itself (rather than the Output you create with it).

We reserve the right to remove content, suspend or terminate accounts, and report illegal activity to the appropriate authorities. We use a combination of automated systems and human review to enforce this policy.

7. Third-party AI models

The Service routes prompts to third-party AI models operated by OpenAI, Anthropic, Google, Meta, Stability AI, Black Forest Labs, ElevenLabs, Suno, Runway, and other providers ("Model Providers"). When you use the Service:

• Your inputs may be transmitted to the relevant Model Provider's API solely to generate the requested Output.
• Model Providers may have additional terms or use policies that apply to your use of their models. We will surface such terms within the relevant studio where applicable.
• We do not control, and are not responsible for, the accuracy, availability, or behavior of third-party models. Models can produce inaccurate, biased, or offensive output. You are responsible for reviewing Output before relying on or distributing it.

8. Intellectual property

The Service — including its software, design, brand, dashboards, written copy, documentation, course content, templates, and bonus assets — is owned by TheAiContentPro and our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use under these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service or reverse-engineer, decompile, or attempt to extract the source code, weights, or proprietary algorithms.

9. Privacy

Our collection, use, and disclosure of your information are described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED OUTPUT MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE FOR YOUR USE CASE; YOU MUST REVIEW IT BEFORE USE. WE DO NOT WARRANT THAT OUTPUT WILL BE COPYRIGHTABLE, ORIGINAL, OR FREE OF SIMILARITY TO THIRD-PARTY WORKS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THEAICONTENTPRO, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless TheAiContentPro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your Output and the use, distribution, or publication thereof; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property right, publicity right, or privacy right.

13. Termination

You may terminate your account at any time by canceling your subscription from your dashboard or contacting support. We may suspend or terminate your account if you breach these Terms, if we are required to by law, or if your use poses a security or operational risk to the Service or other users. Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination — including ownership, disclaimers, indemnification, limitation of liability, and governing law — will survive.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Wilmington, Delaware. You and TheAiContentPro waive the right to a jury trial and to participate in a class action. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
